LLP Process for Registration

 A Limited Liability Partnership may be incorporated as per the procedure explained below by registering and applying on the Ministry of Corporate Affairs website, which is dedicated to LLP services, ministry’s main website, www.mca.gov.in, also provides access to this webpage.

User Registration

• Once on the homepage of www.llp.gov.in, select the “Register” tab in the upper right corner of the screen.

• Complete the registration form by including all information requested in the fields denoted by an asterisk (*). For your account, decide on a username and password.

• Submit the certificate for your digital signature.

• You will get a message verifying that your registration was successful after it has been completed.

• Obtain the DPIN, or Designated Partners Identification Number.

• The prospective LLP’s designated partners are required to receive a “Designated Partner Identification Number (DPIN) / Director Identification Number (DIN). It may be applied from: http://www.mca.gov.in/MCA21/

Digital Signature Certificate

A class 2 or class 3 Digital Signature Certificate (DSC) must be obtained from an approved certifying body by the partner or designated partner of an LLP or planned LLP who needs to sign the e-forms. The “Certifying Authorities” option on the LLP portal’s home page has more details about these organizations.

Name reservation

• Visit the LLP portal and select the “log in” tab in the top right corner of the homepage to reserve a name. After logging in with your username and password, select the “E-Forms” link.

• Open Form-1 and complete the necessary fields to reserve a name. You are allowed to list up to six options for the proposed LLP’s name.Form-1 can be submitted by any partner or designated partner in the proposed LLP.

• Add your digital signature to the form and submit it.

• Use a Mastercard or Visa credit card to pay the required fee.

• To see if there are any existing firms or LLPs with names that are similar to or almost identical to your proposed name, utilize the free name search feature on the MCA portal (which is available through a hyperlink on the LLP page).

• At least two authorized partners must be listed for the proposed LLP, at least one of whom must be an Indian citizen. Designated partners may only be people or nominees acting on behalf of bodies corporate.

• By logging into the portal, you may find out the status of your application.

• Refer to the provided Instruction Kit for more extensive instructions.

• Form-1 can be submitted by any partner or designated partner in the proposed LLP.

• Add your digital signature to the form and submit it.

Incorporating an LLP

• Once the Registrar reserves the name, go to the portal and fill out Form-2 “Incorporation Document and Statement”.

• Pay the required registration fee based on the total monetary value of the partners’ contributions in the proposed LLP, according to the LLP Rules, 2009.

• The statement in the e-form must be digitally signed by a designated partner with a permanent DPIN, as well as by an advocate/company secretary/chartered accountant/cost accountant involved in forming the LLP.

• After submitting all the necessary documents, the Registrar will review them to ensure compliance with the LLP Act. The LLP will be registered within 14 days of filing Form-2, and a certificate of incorporation in Form-16 will be issued.

• You can check the status of your application by logging into the portal.
